Terms of Service
1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you (the merchant or other authorised user) and ForthSource ("we", "us"). By installing, accessing, or using the ForthSource app or website you agree to be bound by these Terms. If you do not agree, do not install or use the service.
2. Eligibility
You must be at least 18 years old and authorised to bind the business on whose behalf you install the app. ForthSource is a B2B service and is not intended for personal, household, or consumer use.
3. The service
ForthSource provides supplier discovery, scoring, comparison, RFQ, and related tooling for Shopify merchants. Specific features available to your shop depend on the plan you select. We may add, modify, or remove features from time to time; material removals will be communicated in advance.
4. Your account
- You are responsible for maintaining the confidentiality of any credentials used to access the app, including your Shopify session.
- You must promptly notify us at <a href="mailto:security@forthsource.io">security@forthsource.io</a> of any suspected unauthorised access.
- You are responsible for the actions of any user you authorise to use the app on your shop.
5. Fees, billing & refunds
- Paid plans are billed through Shopify's Billing API or, where applicable, Stripe. Prices, billing intervals, and feature limits are shown in-app at the time of purchase.
- Charges are non-refundable except where required by law, by the Shopify App Store policies, or as expressly stated in-app at the time of purchase.
- If you change plans, the new plan and price take effect at the start of the next billing cycle unless stated otherwise in-app.
- Failure to pay may result in suspension or downgrade of your account after reasonable notice.
6. Acceptable use
You agree not to:
- Use the service to violate any law, third-party right, or Shopify's policies.
- Reverse engineer, scrape, or attempt to bypass any rate-limit, authentication, or billing control of the service.
- Resell or sublicense the service without our written permission.
- Use the service to send spam, harass suppliers, or transmit malicious content.
- Attempt to access data belonging to other shops or accounts.
We may suspend or terminate access for violations of this section.
7. Third-party data & suppliers
Supplier listings, product details, scores, and other third-party data shown in the app are aggregated from public sources or provided by third-party data providers. We provide this information "as available" for your evaluation purposes. ForthSource is not a party to any transaction you enter into with a supplier, and we make no representation or warranty about the suitability, legality, or quality of any supplier or product. You are solely responsible for performing your own diligence and for any contracts you sign.
8. Intellectual property
The ForthSource app, website, code, design, scoring models, and related content are owned by ForthSource and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your shop while these Terms are in effect. You retain ownership of any content you upload (e.g. notes, RFQs, files); you grant us the right to host and process that content solely as needed to provide the service to you.
9. Privacy & data
Our handling of personal data is described in the <a href="/legal/privacy">Privacy Policy</a>, which is incorporated into these Terms by reference.
10. Disclaimers
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the service will be uninterrupted, error-free, or that any data will be accurate or complete.
11. Limitation of liability
To the maximum extent permitted by law, ForthSource and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the fees you paid us for the service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
12. Indemnification
You agree to indemnify and hold ForthSource harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising from your use of the service in breach of these Terms, your violation of any law, or your dealings with any supplier.
13. Term & termination
- You may stop using the service and uninstall the app at any time from your Shopify admin.
- We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates risk for us or other merchants.
- Sections that by their nature should survive (Acceptable Use, IP, Disclaimers, Limitation of Liability, Indemnity, Governing Law) survive termination.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by in-app notice or email to the shop owner at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
